Without limiting the foregoing, Pizza Luce does not warrant or represent that:

• The Site will be available, uninterrupted, timely, secure, or error-free at all times;
• Any information or content on the Site is accurate, complete, reliable, current, or free from errors;
• The results obtained from the use of our Services will meet your expectations;
• Any defects or errors in the Site will be corrected;

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIZZA LUCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• PERSONAL INJURY OR PROPERTY DAMAGE NOT RESULTING FROM OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM ANY THIRD-PARTY CONTENT OR CONDUCT ON THE SITE;
• DAMAGES ARISING FROM DELAYED OR FAILED DELIVERY BY THIRD-PARTY COURIERS.

IN ANY CASE, THE AGGREGATE LIABILITY OF PIZZA LUCE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZA LUCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Pizza Luce and you. Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Luce and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;

• Your violation of any applicable federal, state, or local law or regulation;
• Your violation of any third-party rights, including without limitation any intellectual property rights, privacy rights, or contractual rights;

Pizza Luce reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Pizza Luce in asserting any available defenses. You agree not to settle any matter without the prior written consent of Pizza Luce.

9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pizza Luce is registered and operates, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising from or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located within the applicable jurisdiction in the United States where Pizza Luce maintains its principal place of business. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts.

These Terms are subject to and incorporate all applicable federal laws of the United States, including:

10. Dispute Resolution

10.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or your relationship with Pizza Luce, we encourage you to first attempt to resolve the matter informally by contacting our customer support team at [email protected]. We will make good faith efforts to resolve any dispute within thirty (30) days of receiving your written notice describing the nature and basis of the claim and the relief sought.

10.2 Binding Arbitration

The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitration shall take place in the county and state where Pizza Luce's principal place of business is located, unless otherwise agreed in writing by both parties. Each party shall bear its own costs and attorneys' fees, except as otherwise required by law or as awarded by the arbitrator.

10.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PIZZA LUCE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and Pizza Luce each waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive relief or other equitable remedies in any court of competent jurisdiction where necessary to prevent irreparable harm, including but not limited to the protection of intellectual property rights or confidential information.

11. Term and Termination

These Terms of Service are effective as of the date you first access the Site or use any of our Services and shall remain in full force and effect for as long as you continue to use the Services, unless terminated earlier in accordance with this section.

Pizza Luce reserves the right, in its sole discretion, to suspend or terminate your access to the Site and Services, with or without notice, for any of the following reasons:

• Violation of any provision of these Terms of Service;
• Conduct that is harmful, abusive, harassing, or fraudulent toward Pizza Luce, its employees, or other users;
• Non-payment of amounts owed to Pizza Luce;
• Requests by law enforcement or government agencies;

• Technical, security, or operational reasons deemed necessary by Pizza Luce.

Upon termination of your account or access:

• Your license to use the Site and Services will immediately terminate;

• Any outstanding payment obligations will remain due and payable;
