  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;

  • DAMAGES ARISING FROM DELAYED OR FAILED DELIVERY BY THIRD-PARTY COURIERS.

IN ANY CASE, THE AGGREGATE LIABILITY OF PIZZA LUCE FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZA LUCE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Pizza Luce and you. Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Pizza Luce and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pizza Luce is registered and operates, without regard to its conflict of law principles.

10. Dispute Resolution

The arbitration shall take place in the county and state where Pizza Luce's principal place of business is located, unless otherwise agreed in writing by both parties. Each party shall bear its own costs and attorneys' fees, except as otherwise required by law or as awarded by the arbitrator.

10.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PIZZA LUCE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you and Pizza Luce each waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

10.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive relief or other equitable remedies in any court of competent jurisdiction where necessary to prevent irreparable harm, including but not limited to the protection of intellectual property rights or confidential information.

11. Term and Termination

These Terms of Service are effective as of the date you first access the Site or use any of our Services and shall remain in full force and effect for as long as you continue to use the Services, unless terminated earlier in accordance with this section.

Pizza Luce reserves the right, in its sole discretion, to suspend or terminate your access to the Site and Services, with or without notice, for any of the following reasons:
